Swiss Company Conditions Requirements

1) There must be at least one shareholder.

2) At least one director must be a Swiss citizen residing in Switzerland. If there are more than one director, the majority of them are Swiss citizens.

3) The establishment of a company is an official notarization, the permission of the articles of association, the election of the board of directors, the selection of audit institutions (as long as they are not cancelled according to OR 727a II), and the registration in the business register.

4) The minimum registered capital is 100,000 Swiss francs and at least 50,000 Swiss francs are paid.

The requirements for the registration of Swiss Limited Liability Company are as follows:

1) The establishment of a company is an official notarization, the permission of the articles of association of the company, the determination of the leadership of the enterprise as well as its agents and audit institutions (as long as they are not cancelled according to OR 727a II), and the registration in the business register.

2) It may consist of one or more natural persons or business entities in combination with their own company names and pre-determined capital (registered capital).

3) At least one director must be a Swiss citizen living in Switzerland. There are more than one director, the majority of whom should be Swiss citizens.

4) The statutory capital must be 20,000 Swiss francs and paid in full.
